1. Agreement to these Terms

These Terms of Service ("Terms") are a binding agreement between you and Bemazone Ltd, a limited liability company registered in Hong Kong, trading as LED Proposal ("we", "us", "our").

They govern your access to and use of the LED Proposal platform at led-proposal.com and any related services (the "Services"). By creating an account, or by using the Services, you agree to these Terms. If you do not agree, do not use the Services.

If you are using the Services on behalf of a company or other organisation, you confirm that you are authorised to bind that organisation, and "you" means that organisation.

2. The Services

LED Proposal is a SaaS platform for LED display professionals — including AV integrators, sales engineers, and rental companies — to generate technical and commercial proposals for indoor, outdoor, rental, transparent, and creative LED display projects. You configure screen specifications, and the platform calculates cabinet layouts, sending card selection, signal cable routing, and power distribution, and exports branded proposals in Excel and PDF formats.

Which features are available to you depends on your plan and on the permissions your organisation has granted. We may add, change, or withdraw features over time.

3. Eligibility

The Services are intended for business use by working professionals. You must be at least 18 years old to create an account. The Services are not directed to children, and we do not knowingly collect information from anyone under 13.

5. Plans, billing, and renewal

We offer a free plan with limited features. Premium features require a paid subscription. The free plan is not a trial and does not convert to a paid plan automatically.

Subscriptions are billed in advance and renew automatically at the end of each billing period until cancelled. Available frequencies are monthly, quarterly, half-yearly, and annually.

Pay-as-you-go is not a subscription. It consists of pre-paid credit packs carrying proposal limits and time-based expiry. Credits are non-refundable once delivered, and unused credits expire at the end of their stated period.

All prices are stated and charged in US Dollars. We accept Visa, Mastercard, American Express, and Discover. You are responsible for any taxes, duties, or bank charges that apply to you.

We may change pricing. Changes take effect at your next renewal, and we will give you notice before they apply.

6. Cancellation and refunds

You may cancel at any time by logging into your account. Cancellation stops the next renewal; it does not shorten the period you have already paid for, and you keep access until that period ends.

Fees are non-refundable, including for partial billing periods and unused pay-as-you-go credits. We may issue a refund at our sole discretion — for example for a duplicate charge or a significant service outage — and doing so once does not oblige us to do so again.

8. Calculation outputs and product data disclaimer

The Services provide technical calculations and proposal generation based on user inputs and product specifications stored in our database. All outputs — including but not limited to cabinet layouts, sending card recommendations, signal cable routing, power distribution, viewing distance studies, and bill of materials — are provided for guidance and informational purposes only.

Users are solely responsible for:

Product specifications, prices, and availability shown in our database are sourced from manufacturer-published data and may not reflect current models, pricing, or stock status. We make no warranty as to the suitability of any generated output for any specific project, and we accept no responsibility for installation defects, equipment failures, project delays, or financial losses arising from reliance on Service outputs without independent professional verification.

9. Ownership of generated outputs

Users retain all rights to the proposal documents (Excel, PDF, and image files) generated by the Services and to any input data they provide, including their company branding, project information, and customer details. We claim no ownership over user-generated proposal content.

The underlying calculation algorithms, sending card selection logic, signal routing engine, viewing distance models, product database, software code, and Service interface are and remain our exclusive intellectual property. Use of the Services does not transfer any rights in this underlying technology to the user.

Product names and trademarks of LED manufacturers belong to their respective owners.

10. Use of project data and analytics

All users. We may aggregate and anonymize usage data — including geographic region, screen dimensions, pixel pitch selections, cabinet brands, sending card preferences, and other configuration patterns — to produce industry insights, charts, internal reports, and product improvements. Aggregated data does not identify any individual user, end customer, or specific project. Aggregations are constructed such that no fewer than five users contribute to any single output, ensuring individual configurations cannot be re-identified.

Free Plan users. By using our Free Plan, you grant us a non-exclusive, royalty-free right to include your anonymized configuration data in such aggregated analytics.

Paid Plan users. Your individual configurations and project data are excluded from analytics aggregations. We use paid users' data only to operate the Services for you and as required by law. You may also request additional data restrictions at any time by contacting us.

Personally identifiable information — including names, email addresses, company names, end-customer names, and contact details — is never included in analytics outputs regardless of plan.

11. Third-party links and services

The Services may contain links to third-party websites or services that we do not own or control. We are not responsible for their content, policies, or practices, and linking to them is not an endorsement. Your dealings with third parties are between you and them.

12. Availability

We aim to keep the Services available but do not guarantee uninterrupted access. We may suspend them for maintenance, updates, or emergency repairs. Features marked as beta may change or be withdrawn at any time.

13. Disclaimer

To the fullest extent permitted by law, the Services are provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profit, revenue, business, or data, arising out of or relating to the Services.

Our total aggregate liability arising out of or relating to the Services is limited to the amount you paid us in the twelve months preceding the event giving rise to the claim.

Time limit. Any claim arising out of or relating to the Services must be brought within one (1) year of the event giving rise to it, or it is permanently barred.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

15. Suspension and termination

You may stop using the Services at any time and close your account from within your account settings. We may suspend or terminate your access if you breach these Terms, if required by law, or if your organisation's plan ends. On termination your right to use the Services stops immediately. How long we retain your data afterwards is described in our Privacy Policy.

16. Dispute resolution

Informal resolution first. If a dispute arises, contact us at [email protected]. Both parties agree to attempt to resolve it informally for thirty (30) days before starting formal proceedings.

Arbitration. If informal resolution fails, the dispute will be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules in force at the time. The seat of arbitration is Hong Kong, the language is English, and the tribunal consists of one arbitrator. The award is final and binding.

17. Governing law

These Terms and any dispute arising out of them are governed by the laws of the Hong Kong Special Administrative Region, without regard to its conflict of law rules.

18. Changes to these Terms

We may update these Terms as the Services develop. The effective date at the top always reflects the current version, and we will give notice of material changes — by email from [email protected] or in the application — before they take effect. Continuing to use the Services after that means you accept the updated Terms.
